Scope

This License Agreement (“Licence”) governs your rights to use the digital files (“Assets”) you download from UltraDesign, operated by NEXARYON LIMITED (company number 17148886), with registered office at Studio No. 19, 138 Marylebone Road, London NW1 5PH, United Kingdom. By downloading an Asset you accept this Licence for that Asset.

Licence grant

We grant you a worldwide, non-exclusive, perpetual, non-transferable licence to use the Assets for personal and commercial projects, including client work and end products, subject to the restrictions below.

Permitted uses

  • Use in unlimited personal and commercial projects (websites, apps, games, advertising, printed materials, merchandise, video).
  • Modification, adaptation, and combination with other elements as part of a larger work.
  • Use in client deliverables, provided the Assets remain a component of your wider design rather than the main resold product.

Restrictions

  • You may not redistribute, resell, sublicense, or upload the Assets as standalone files or in any form that competes with UltraDesign.
  • You may not make the Assets available on stock marketplaces, asset libraries, NFT platforms, or training datasets for machine-learning models.
  • You may not use the Assets to produce content that is unlawful, defamatory, or infringing.
  • The Licence is granted per purchasing account. Sharing files between separate legal entities requires an additional licence for each.

Attribution

Use without crediting UltraDesign is permitted.

Third-party material

Some Assets may include trademarks, logos, or likenesses owned by third parties. Responsibility for clearing such rights for your specific use case rests with you.

Termination

This Licence terminates automatically if you breach a material term. On termination you must stop using the Assets and delete remaining copies. Works already produced, published, or incorporated into a completed client deliverable before the breach may continue to exist.

Warranty and liability

The Assets are provided “as is”. To the extent permitted by law, our total liability in connection with the Assets is limited to the price paid for the specific Asset.

Governing law

This Licence is governed by the laws of England and Wales.
